- las sociedades cotizadas cuentan con un comité de compensación compuesto íntegramente por directores independientes;
- el comité de compensación cuente con una carta escrita que aborde, entre otras cosas, el propósito del comité y establezca los deberes y responsabilidades del comité;
- el comité de compensación produce anualmente un informe del comité de compensación sobre compensación ejecutiva, para ser incluido en la declaración de poder anual de la compañía o informe anual en el Formulario 10-K presentado ante la SEC.
Estas reformas responden al crecimiento sin precedentes en la compensación a altos ejecutivos y a un incremento dramático en la relación entre la compensación de los ejecutivos y sus empleados en las últimas 2 décadas. Un sistema de compensación razonable y justo para ejecutivos y empleados es fundamental para la creación de valor corporativo a largo plazo. La responsabilidad del comité de compensación es evaluar y recomendar la compensación de los altos ejecutivos de la firma, incluido el director general. Para cumplir con esta responsabilidad de manera objetiva, es necesario que el comité de compensación esté integrado íntegramente por directores independientes externos.
