Objetivos de aprendizaje
Después de leer este capítulo, debes entender lo siguiente:
- La responsabilidad de un agente que firma papel comercial
- Qué responsabilidad contractual se impone cuando una persona firma papel comercial
- Qué responsabilidad de garantía se impone a un cedente
- Qué pasa si hay pago o aceptación por error
- Cómo se da de baja a las partes de responsabilidad en papel mercantil
En el capítulo 19 “Naturaleza y forma del papel comercial”, el capítulo 20 “Negociación del papel comercial” y el capítulo 21 “Titular en el debido curso y defensas”, nos centramos en los métodos y consecuencias de negociar papel comercial cuando se siguen todos los pasos adecuados. Por ejemplo, un hacedor entrega una nota negociable a un beneficiario, quien en su momento negocia adecuadamente el papel a un tercero titular. En consecuencia, este tercero tiene derecho a cobrar del hacedor, a menos que este último tenga una defensa real.
En este capítulo, comenzamos por examinar una cuestión especialmente importante para la gerencia: la responsabilidad personal por la firma de notas y cheques de la compañía. Luego nos fijamos en los dos tipos generales de responsabilidad —contrato y garantía— introducidos en el Capítulo 20 “Negociación del Papel Comercial”. Concluimos el capítulo revisando las formas en que las partes son libradas de responsabilidad.
