- Culto a la personalidad de un CEO (líder) o el alto perfil mediático del CEO
- Sobre la dependencia, el poder excesivo o la dominación por parte del CEO, incluida la falta de voluntad para delegar
- Fuerte dependencia del CEO para las relaciones públicas corporativas, clientes y gubernamentales (por ejemplo, cuando el CEO es el único portavoz o principal)
- Equipo de alta dirección débil o “dominada” por debajo del CEO
- Incentivo de CEO y/o compensación total materialmente superior al promedio de pares
- Vínculo entre el desempeño financiero de la compañía y la compensación ejecutiva enfocada principalmente en el horizonte
- Pagos especiales o beneficios adicionales inusuales o préstamos a ejecutivos sin un propósito claro, o no relacionados con ningún aumento en el desempeño (incluyendo bonos “garantizados”)
- Planes de compensación o provisiones que crean incentivos perversos (es decir, pagos que fomenten una actividad de adquisición excesiva; pagos al alcanzar cierto nivel de negociación de precios de acciones).
- Plan de sucesión poco claro y/o falta de nombre de un sucesor
- Alta o inesperada rotación o salida de la alta dirección o junta directiva.
- Falta de credibilidad en la explicación de la compañía de salida (s) senior (s)
- Lavish CEO y senior executive lifestyle y entretenimiento corporativo
